1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and XEEP PLT (Company Registration No. 202504002688), a limited liability partnership registered in Malaysia ("Xeep," "we," "us," or "our"). These Terms govern your access to and use of our wellness intelligence platform, including our website at xeep.io, mobile applications for iOS and Android, Xeep Device wearable hardware, and all related services, features, content, and applications (collectively, the "Services").

By creating a Xeep account, accessing our platform, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any provision of these Terms, you must immediately discontinue use of our Services and may not create an account.

These Terms apply to all users of the Services, including users who register for free trial accounts, Lite subscription holders, and Pro subscription holders. The Xeep Device hardware is provided exclusively through subscription bundles and cannot be purchased separately. All subscriptions include delivery of the Xeep Device hardware as part of the initial subscription package, along with ongoing access to the Xeep wellness intelligence platform.

2. Eligibility and Account Registration

2.1 Age and Residency Requirements

You must meet the following eligibility requirements to use our Services:

  • You are at least eighteen years of age. Xeep Services are intended solely for adults aged eighteen years or older. We do not knowingly collect personal information from or market to individuals under the age of eighteen. If you are under eighteen years of age, you are expressly prohibited from using our Services.
  • You are a resident of Malaysia or a country where our Services are officially available. While we may expand to additional markets in the future, our Services are currently designed and optimized for Malaysian users.
  • You have the legal capacity to enter into a binding contract under Malaysian law. You are not legally prohibited from accessing or using our Services under any applicable law or regulation.
  • You will use the Services solely for lawful purposes and in accordance with these Terms. You agree not to use our Services for any illegal, fraudulent, or unauthorized purpose.

2.2 Account Creation and Responsibility

When you register for a Xeep account, you must provide accurate, current, and complete information, including your full name, valid email address, date of birth, and other required registration data. You are responsible for maintaining the accuracy of your account information and must promptly update your information if it changes.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password. You must immediately notify us at hi@xeep.io if you believe your account has been compromised or accessed without authorization. You acknowledge that you are responsible for all activities that occur under your account, whether or not you authorized such activities.

Each account is personal to you and may not be shared with, transferred to, or used by any other person. Creating multiple accounts for the same individual is prohibited unless explicitly authorized by Xeep for legitimate business purposes.

You agree to provide truthful and accurate health information to the extent you choose to input such information manually. While sensor data from your Xeep Device is collected automatically, any manual entries, health notes, or wellness check responses should reflect your actual health status to ensure the accuracy of your personalized insights and XQ scores.

2.3 Account Verification

We reserve the right to verify your identity and account information at any time. We may request additional documentation, such as government-issued identification, to confirm your identity, age, or residency status. Failure to provide requested verification within a reasonable timeframe may result in suspension or termination of your account and Services.

3. Services Description

3.1 Core Platform Services

Xeep provides a comprehensive wellness intelligence platform designed to help you optimize your productivity, health, and wellbeing through data-driven insights. Our core Services include:

XQ Flow State Intelligence

Our proprietary algorithm processes continuous health data from your Xeep Device to calculate your XQ score, a real-time indicator of your readiness for focused work, creative tasks, and optimal performance. The XQ score is based on five weighted components: Recovery (thirty percent), Current State (thirty percent), Flow Readiness (twenty-five percent), Resilience (ten percent), and Circadian Rhythm (five percent). Your XQ score updates throughout the day to reflect changes in your physiological state.

Continuous Health Monitoring

The Xeep Device automatically collects nine primary health data streams including heart rate, blood oxygen saturation (SpO2), algorithmically estimated blood pressure, sleep quality and stages, physical activity metrics, stress levels, heart rate variability, and wellness check measurements. This data is synced to your mobile application and web dashboard for comprehensive historical tracking and trend analysis.

AI-Powered Wellness Insights

Our artificial intelligence engine analyzes your health patterns to provide personalized recommendations for improving your sleep, managing stress, optimizing your work schedule, and enhancing overall wellness. These insights are tailored specifically to your unique health profile and continuously refined as we collect more data about your patterns. Your use of the AI Insights feature is subject to the full Health & Medical Disclaimer, which is incorporated into these Terms by reference.

Historical Data Analysis

We maintain your complete health history, allowing you to track long-term trends, identify patterns, and measure progress toward your wellness goals over weeks, months, and years.

Dashboard and Reporting

Your personalized dashboard provides intuitive visualizations of your health metrics, XQ score trends, and AI-generated insights accessible via web browser and mobile applications.

3.2 Subscription Tiers

Xeep offers two subscription tiers with different feature access:

All Xeep subscriptions are comprehensive bundles that include both the Xeep Device hardware and ongoing platform access. When you subscribe to either the Lite or Pro plan, you receive the physical Xeep Device as part of your initial subscription package. The device is delivered once at the beginning of your subscription, and your ongoing subscription payments provide continuous access to the platform, software updates, customer support, and all subscription features. The Xeep Device cannot be purchased separately and is only available through subscription.

Lite Subscription (RM39 per month)

The Lite subscription includes core XQ score calculation, basic health data tracking for all nine data streams, historical data access for the past ninety days, essential dashboard features, and standard customer support via email with response within forty-eight hours.

Pro Subscription (RM59 per month)

The Pro subscription includes all Lite features plus unlimited historical data access, advanced AI wellness insights and personalized recommendations, predictive XQ forecasting for planning optimal work windows, priority customer support with response within twenty-four hours, early access to new features and beta programs, detailed analytics and trend reports, and family sharing capabilities for up to four additional family members when this feature becomes available.

Both subscription tiers include an active Xeep Device delivered as part of your initial subscription package. The device must be paired to your account to access platform features. Annual subscription plans are available at discounted rates, offering two months free when you pay for twelve months upfront (RM390 per year for Lite, RM590 per year for Pro). Whether you choose monthly or annual billing, the Xeep Device is included as part of your first subscription delivery.

3.3 Free Trial Period

New users are eligible for a seven-day free trial of the Pro subscription when they first subscribe and pair their Xeep Device. The device is included as part of the subscription bundle and will be delivered to new subscribers.

Unless you cancel your subscription before the trial period ends, your account will automatically convert to a paid subscription at the end of the seven-day trial. You will be charged the then-current subscription rate for your selected plan (monthly or annual) using the payment method you provided during registration. You may cancel your trial at any time during the seven-day period without incurring charges by accessing Settings → Subscription → Cancel Trial in your mobile application or web dashboard.

Device Return Requirement for Trial Cancellations

If you cancel your subscription during the 7-day free trial period, the Xeep Device must be returned to us within 14 days of your cancellation. You are responsible for return shipping costs. If the device is not returned within 14 days, you will be charged the full device value of RM78 (Lite) or RM138 (Pro) depending on your trial plan. The device must be returned in its original packaging, in good working condition, with all included accessories (charging cable, user manual, etc.).

3.4 Service Availability and Modifications

We strive to provide continuous, uninterrupted access to our Services. However, we do not guarantee that our Services will always be available, error-free, or free from interruptions. Our Services may be temporarily unavailable due to scheduled maintenance, system upgrades, technical difficulties, circumstances beyond our reasonable control, or other operational factors.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, including features, functionality, or availability of specific services, with or without prior notice. We may also impose limits on certain features or restrict access to parts of the Services without prior notice or liability. While we will make reasonable efforts to notify users of material changes to core Services, we are not obligated to provide advance notice for all modifications.

4. Acceptable Use Policy

4.1 Permitted Use

You may use our Services solely for personal, non-commercial purposes to monitor your health, track your wellness metrics, receive personalized insights, and optimize your daily performance. You may share your individual health data and insights with your healthcare providers, family members, or other individuals at your sole discretion for legitimate health and wellness purposes.

4.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • • You may not violate any applicable local, state, national, or international law, regulation, or requirement in your use of our Services. You may not use our Services for any illegal purpose or to facilitate violation of any law.
  • • You may not attempt to gain unauthorized access to any portion of our Services, other user accounts, computer systems, or networks connected to our Services through hacking, password mining, brute force attacks, or any other means.
  • • You may not use any robot, spider, scraper, or other automated means to access our Services for any purpose, including monitoring or copying any material from our Services, without our prior express written permission.
  • • You may not interfere with or disrupt the integrity or performance of our Services or the data contained therein. You may not attempt to decipher, decompile, disassemble, or reverse engineer any of the software or algorithms comprising or making up our Services, including our proprietary XQ calculation algorithm.
  • • You may not upload, transmit, or distribute any computer viruses, malware, ransomware, worms, Trojan horses, or any other malicious code or programs designed to interrupt, damage, destroy, limit, or adversely affect the functionality of any computer software, hardware, or telecommunications equipment.
  • • You may not impersonate or attempt to impersonate Xeep, a Xeep employee, another user, or any other person or entity. You may not falsely state or otherwise misrepresent your affiliation with any person or entity in connection with our Services.
  • • You may not share false, misleading, or fraudulent health information with the intent to manipulate your XQ score or receive inappropriate health insights.
  • • You may not sell, rent, lease, or sublicense your Xeep account or access to our Services to any third party. Each account is personal to the registered user and may not be transferred or shared except through our authorized family sharing feature when it becomes available.
  • • You may not use our Services to stalk, harass, threaten, or harm another person, or to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of our Services.
  • • You may not attempt to bypass, circumvent, or disable any security features or access controls of our Services, including features designed to prevent or restrict copying or use of any content or features.
  • • You may not use our Services in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party's use and enjoyment of our Services.

4.3 Content Standards

If our Services include features allowing you to submit content, such as health notes, wellness check responses, profile information, or communications with customer support, you agree that all such content will be accurate, non-offensive, and compliant with applicable law. You will not submit content containing protected health information of other individuals without their explicit consent, personally identifiable information of minors, confidential information you are not authorized to disclose, or content that infringes upon any intellectual property rights or other proprietary rights of any party.

4.4 Consequences of Violation

Violation of this Acceptable Use Policy may result in:

  • • Immediate suspension or termination of your account and access to our Services
  • • Referral to law enforcement authorities if we determine your conduct may violate criminal law
  • • Civil liability for damages caused by your violation
  • • Other legal or equitable remedies as determined by Xeep in its sole discretion

We reserve the right to investigate suspected violations of these Terms and to take appropriate action, which may include removing specific content, issuing warnings, suspending or terminating accounts, reporting illegal activity to law enforcement, or pursuing civil remedies. We may cooperate with law enforcement authorities in investigating potential criminal conduct related to use of our Services.

5. Intellectual Property Rights

5.1 Xeep Intellectual Property

The Services, including all content, features, functionality, software, algorithms, user interfaces, visual designs, graphics, logos, text, and other materials are owned by Xeep, our licensors, or other content providers, and are protected by Malaysian and international intellectual property laws including copyright, trademark, patent, and trade secret laws.

Our proprietary XQ algorithm, including its underlying methodology, calculations, weighting factors, and predictive models, constitutes valuable trade secret and intellectual property of Xeep. The XQ score, XQ branding, and related terminology are trademarks or service marks of Xeep.

The Xeep name, logo, wordmarks, design marks, and all related names, logos, product and service names, designs, and slogans are trademarks of Xeep. You may not use these marks without our prior written permission except as necessary to identify Xeep Services in permitted contexts.

5.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services for your personal, non-commercial use only. This license includes the right to download and use our mobile applications on devices you own or control, access the web application through standard web browsers, and use the Xeep Device hardware in accordance with its intended purpose and user documentation.

This license does not grant you any rights to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download (except as explicitly permitted), store, or transmit any material from our Services except as inherently necessary to use the Services for their intended purpose or as specifically permitted in these Terms.

5.3 User-Generated Content Ownership

You retain ownership of any content you create, submit, or upload to our Services, including health notes, wellness check responses, meal logs, symptom descriptions, profile photographs, and other user-generated content. However, by submitting such content to our Services, you grant Xeep a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from such content for the purposes of operating, promoting, and improving our Services.

This license includes the right to use your content in aggregated, anonymized form for research, analytics, marketing, and other business purposes. For example, we may use aggregated wellness check responses to improve the accuracy of our AI insights or publish statistics about user health trends in marketing materials, provided such use cannot identify you personally.

5.4 Health Data License Grant

Critical Notice

By using our Services, you grant Xeep comprehensive rights to use your health data as described below. This data license is mandatory, non-negotiable, and fundamental to our business model. If you do not agree to this data license, you may not use our Services.

Why This Matters: Xeep's affordable subscription pricing (RM39-59/month including hardware delivery) is made possible by our data flywheel business model. Your health data, when properly anonymized and aggregated with other users' data, becomes a valuable asset that enables us to offer subscription pricing 70% below competitors (who charge RM200+/month).

The Data License You Grant

By using our Services, you grant Xeep a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to collect, use, process, store, transmit, analyze, aggregate, anonymize, and create derivative works from all health data collected through your use of the Xeep Device and Services.

This includes all nine primary health data streams: heart rate, blood oxygen saturation, algorithmically estimated blood pressure, sleep data, physical activity metrics, stress levels, heart rate variability, XQ scores, and wellness check measurements.

Specific Rights You Grant Xeep

Individual Use Rights

Calculate your personalized XQ scores, generate AI-powered wellness insights, provide predictive recommendations, display your health trends and analytics, and deliver all platform features and Services to you.

Algorithm Improvement Rights

Train, improve, and refine our artificial intelligence and machine learning algorithms, including the proprietary XQ calculation algorithm, to enhance accuracy and effectiveness for all current and future users.

Anonymization and Research Rights

Create anonymized datasets by removing all personal identifiers through our multi-layer anonymization process, which includes k-anonymity with k≥20, differential privacy with ε≤0.5, and HIPAA Safe Harbor methodology.

Commercial Licensing Rights

License anonymized datasets and aggregated insights to third parties including academic researchers, healthcare institutions, pharmaceutical companies, insurance companies, government health agencies, and technology companies.

Publication and Marketing Rights

Publish aggregate insights, statistics, research findings, and case studies derived from user data in anonymized form for academic papers, marketing materials, blog posts, investor presentations, and other business communications.

No Opt-Out Available

Unlike some platforms that offer opt-out options for research participation, Xeep does not provide any mechanism to opt out of this data license. Granting this comprehensive data license is a non-negotiable condition of using our Services. This mandatory data contribution is what enables us to offer premium hardware (RM78-138 value) included with subscription at industry-leading affordable pricing (RM39-59/month vs RM200+/month competitors).

5.5 Feedback and Suggestions

If you provide us with any feedback, suggestions, ideas, or other information regarding our Services, whether through customer support channels, surveys, user testing, or other means, you agree that we may use such feedback without restriction and without compensation to you. You hereby assign to Xeep all rights, title, and interest in any such feedback, and you agree that we are free to implement any such feedback or suggestions in our Services without obligation to you.

6. Third-Party Services and Integrations

Our Services integrate with certain third-party services to provide enhanced functionality:

Firebase (Google Cloud Platform) provides our cloud infrastructure, database, authentication, and security services. Your use of Firebase functionality through our Services is subject to Google's Terms of Service and Privacy Policy available at firebase.google.com.

HitPay processes all payment transactions for subscriptions and hardware purchases. When you enter payment information, you are interacting directly with HitPay's secure payment processing system, subject to HitPay's Terms of Service and Privacy Policy available at hitpayapp.com.

ReCaptcha (Google) protects our Services from automated abuse and fraudulent activity. Your interaction with ReCaptcha functionality is subject to Google's Privacy Policy and Terms of Service.

We may add additional third-party integrations in the future to enhance our Services. When we do so, we will update these Terms accordingly and notify you of material changes.

7. Payment Terms and Subscriptions

7.1 Subscription Fees and Billing

By subscribing to our Services, you agree to pay all applicable subscription fees at the rates in effect when charges are incurred. Subscription fees are billed in advance on a monthly or annual basis depending on your selected subscription plan. Your initial subscription payment includes the cost of the Xeep Device hardware delivery along with your first billing period of platform access.

All fees are stated in Malaysian Ringgit (RM) and are exclusive of any applicable taxes unless otherwise specified. You are responsible for payment of all taxes associated with your subscription, including Sales and Service Tax (SST) if applicable, which will be calculated and added to your subscription fee at checkout if required by law.

Monthly subscriptions automatically renew on the same day each month. Annual subscriptions automatically renew on the anniversary of your initial subscription date. Automatic renewal ensures uninterrupted service access and means you authorize us to charge your designated payment method for the renewal period without requiring additional authorization from you.

7.2 Payment Methods and Authorization

You must provide a valid payment method accepted by our payment processor HitPay, including major credit cards (Visa, Mastercard), debit cards, online banking (FPX), or supported e-wallets. By providing payment information, you authorize us and HitPay to charge all fees incurred through your account to your designated payment method.

You represent and warrant that you have the legal right to use any payment method you provide to us and that the information you provide is true, accurate, and complete. You agree to promptly update your payment information if your payment method expires, is cancelled, or otherwise becomes invalid.

7.3 Cancellation and Refunds

You may cancel your subscription at any time through Settings → Subscription → Cancel Subscription in your mobile application or web dashboard. Cancellation takes effect at the end of your current billing period. You will continue to have access to all subscription features until the end of the period you have already paid for, but you will not be charged for subsequent billing periods.

We do not provide refunds or credits for partial subscription periods. If you cancel a monthly subscription mid-month, you will not receive a refund for the remaining days in that month, but you will retain full access until the month end. If you cancel an annual subscription, you will retain access until the end of your annual term but will not receive a pro-rated refund for unused months.

During your seven-day free trial period, you may cancel at any time without incurring any charges. After the trial period ends, our standard cancellation and refund policies apply.

7.4 Free Trial Terms

First-time users are eligible for one seven-day free trial of the Pro subscription. The trial begins when you first pair your Xeep Device and activate your account. Only one trial per person is permitted. Creating multiple accounts to receive additional free trials is prohibited and may result in account termination.

To access the free trial, you must provide valid payment information during registration. Your payment method will not be charged during the trial period. However, unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription and your payment method will be charged at the then-current Pro subscription rate.

8. Health and Medical Disclaimers

8.1 Not a Medical Device or Medical Service

Xeep Services and the Xeep Device are designed for general wellness and fitness purposes only. They are not medical devices and have not been evaluated or approved by the Medical Device Authority of Malaysia (MDA), United States Food and Drug Administration (FDA), or any other medical regulatory authority. Our Services are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

The XQ score is a wellness indicator designed to help you optimize your productivity and daily performance. It is not a medical diagnostic tool and should not be used to assess or monitor any medical condition. The XQ algorithm analyzes patterns in your health data to provide insights about your readiness for focused work, but it cannot detect medical emergencies, serious health conditions, or provide medical advice.

8.2 Blood Pressure Measurement Limitations

The Xeep Device uses algorithmic estimation to provide approximate blood pressure readings. These estimates are derived from sensor data and proprietary calculations with a confidence level of sixty to eighty-five percent. These blood pressure estimates are not medical-grade measurements and should not be used for medical diagnosis, treatment decisions, or monitoring of hypertension or other cardiovascular conditions.

If you have high blood pressure, cardiovascular disease, or any other medical condition requiring blood pressure monitoring, you must use a clinically validated, medical-grade blood pressure monitor and consult with your healthcare provider. Do not rely on Xeep's blood pressure estimates for medical purposes.

8.3 General Health Monitoring Limitations

All health metrics provided by the Xeep Device and Services, including heart rate, blood oxygen saturation, sleep analysis, stress levels, and other measurements, are subject to limitations in accuracy. These metrics may be affected by device placement, skin characteristics, movement, environmental conditions, individual physiological variations, and other factors.

You should not rely solely on Xeep's health metrics for medical decision-making. These metrics are intended to provide general wellness insights and should not replace professional medical advice, diagnosis, or treatment.

8.4 No Medical Advice

Xeep does not provide medical advice, diagnosis, or treatment. Any information provided through our Services, including AI-generated wellness insights, is for informational and educational purposes only and is not a substitute for professional medical advice from qualified healthcare providers.

Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of information you received through Xeep Services.

If you experience symptoms of a medical emergency, including chest pain, difficulty breathing, severe pain, loss of consciousness, or any other serious symptoms, immediately call emergency services (999 in Malaysia) or go to the nearest emergency room. Do not rely on Xeep to detect or alert you to medical emergencies.

8.5 User Responsibility

You are solely responsible for monitoring your own health and seeking appropriate medical care when needed. You acknowledge that use of Xeep Services does not replace regular medical check-ups, consultations with healthcare providers, or medically prescribed monitoring of chronic conditions.

You should consult with a qualified healthcare provider before making any decisions regarding your health, fitness routine, or lifestyle changes based on information obtained through Xeep Services, particularly if you have any pre-existing medical conditions, are pregnant, are taking medications, or have concerns about your health.

8.6 Assumption of Risk

By using our Services, you acknowledge and accept the inherent limitations of consumer wellness devices and agree to use Xeep Services at your own risk. You assume full responsibility for any reliance you place on information provided by our Services and agree that Xeep shall not be liable for any health outcomes, medical conditions, or injuries that occur in connection with your use of our Services.

9. Warranty Disclaimers

9.1 Services Provided "As Is"

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by Malaysian law, Xeep disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that our Services will meet your requirements, be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from use of our Services will be accurate, reliable, or complete. We do not warrant that defects in our Services will be corrected or that our Services are free from viruses, malware, or other harmful components.

9.2 XQ Score and Algorithm Accuracy

While we strive to provide accurate and reliable XQ scores and health insights, we make no warranty regarding the accuracy, reliability, completeness, or timeliness of any XQ scores, health metrics, predictions, or AI-generated insights provided through our Services.

The XQ algorithm is continuously improved based on additional data and research, but we cannot guarantee that XQ scores will accurately predict your optimal performance windows or that following XQ-based recommendations will achieve desired outcomes. Individual results may vary based on numerous factors beyond our control.

9.3 Third-Party Services

We disclaim all warranties related to third-party services integrated with our platform, including Firebase, HitPay, and ReCaptcha. We are not responsible for the performance, reliability, or security of third-party services, and we make no warranties regarding their availability, accuracy, or suitability for any purpose.

9.4 Data Loss

While we implement industry-standard backup and redundancy measures, we do not warrant that your data will be secure from loss, corruption, destruction, or unauthorized access. We are not responsible for any data loss or corruption that may occur, and you are encouraged to maintain your own backups of important health data by using our data export features.

10. Limitation of Liability

10.1 Maximum Liability Cap

To the fullest extent permitted by Malaysian law, the total liability of Xeep, our affiliates, officers, directors, employees, agents, suppliers, and licensors for any claims arising out of or relating to these Terms or your use of our Services shall not exceed the amount you paid to Xeep during the twelve months immediately preceding the event giving rise to liability, or one hundred Malaysian Ringgit (RM100), whichever is greater.

10.2 Exclusion of Consequential Damages

In no event shall Xeep be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, use, data, or other intangible losses, arising out of or relating to your use of or inability to use our Services, regardless of whether such damages were foreseeable and whether Xeep was advised of the possibility of such damages.

This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, warranty, or otherwise.

10.3 Health-Related Liability Exclusion

Xeep shall not be liable for any health outcomes, medical conditions, injuries, illnesses, or deaths that occur in connection with your use of our Services or reliance on information provided through our Services. You acknowledge that Xeep does not provide medical services or medical advice and that you use our Services at your own risk.

We are not liable for any consequences resulting from your failure to seek appropriate medical care, misuse of health information provided by our Services, reliance on XQ scores or other wellness metrics for medical decision-making, or any other health-related decisions made based on information obtained through our Services.

10.4 Service Availability

We shall not be liable for any damages or losses resulting from service interruptions, downtime, maintenance, technical failures, data breaches, security incidents, or unavailability of our Services for any reason, whether scheduled or unscheduled, foreseeable or unforeseeable.

10.5 User Conduct

We are not liable for any damages or losses arising from your violation of these Terms, unauthorized use of our Services, or interactions with other users or third parties.

11. Indemnification

You agree to defend, indemnify, and hold harmless Xeep, our parent company, subsidiaries, affiliates, officers, directors, employees, agents, suppliers, partners, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to your violation of these Terms or any applicable law or regulation, your violation of any rights of any third party, your use or misuse of our Services, any content you submit through our Services, your breach of any representation or warranty contained in these Terms, or any act or omission by you that causes harm to Xeep or any third party.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You may not settle any claim subject to this indemnification provision without our prior written consent.

This indemnification obligation shall survive termination of these Terms and your use of our Services.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms and any disputes arising out of or relating to these Terms or our Services shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles.

12.2 Jurisdiction and Venue

Subject to the arbitration provisions below, you agree that any legal action or proceeding arising out of or relating to these Terms or our Services shall be brought exclusively in the courts located in Selangor, Malaysia, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

12.3 Informal Dispute Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or our Services through informal negotiation with Xeep. You must send a written notice to hi@xeep.io describing the nature of your dispute, the relief you seek, and your contact information. We will attempt to resolve the dispute informally within thirty days of receiving your notice.

12.4 Arbitration Agreement

If informal dispute resolution is unsuccessful, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or our Services that cannot be resolved through informal negotiation shall be resolved through binding arbitration in accordance with the rules of the Asian International Arbitration Centre (AIAC) or the Kuala Lumpur Regional Centre for Arbitration (KLRCA), as mutually agreed.

The arbitration shall be conducted in Kuala Lumpur, Malaysia, in the English language, before a single arbitrator. The arbitrator's decision shall be final and binding on both parties. Each party shall bear its own costs and expenses of arbitration, unless the arbitrator determines otherwise. This arbitration agreement shall survive termination of these Terms.

12.5 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Xeep.

12.6 Exceptions to Arbitration

Notwithstanding the arbitration agreement above, either party may seek injunctive or equitable relief in court to prevent infringement of intellectual property rights or unauthorized access to our Services.

13. Termination

13.1 Termination by You

You may terminate your account at any time by navigating to Settings → Account → Delete Account in your mobile application or web dashboard, or by emailing dpo@xeep.io with your termination request. Upon termination, you will lose access to all Services, including your historical health data, XQ scores, and AI insights.

Account termination follows a thirty-day cooling-off period during which your account is suspended but data is not yet permanently deleted. You may cancel your termination request during this period by contacting us. After the cooling-off period, your identifiable personal data and health data will be permanently deleted in accordance with our Privacy Policy, typically within sixty days of your termination request.

Termination of your account does not relieve you of any obligation to pay outstanding subscription fees or other charges incurred prior to termination. You will not receive refunds for any prepaid subscription periods remaining at the time of termination.

13.2 Termination by Xeep

We reserve the right to suspend or terminate your account and access to our Services immediately, without prior notice or liability, for any reason, including but not limited to your breach of these Terms, fraudulent activity, abusive conduct toward our employees or other users, failure to pay subscription fees, violation of applicable laws or regulations, conduct that damages or threatens to damage Xeep's reputation or business, or any conduct that we determine, in our sole discretion, to be harmful to us, our Services, or other users.

If we terminate your account for cause, you will not be entitled to any refund of prepaid subscription fees. We may also pursue legal remedies for any damages caused by your violation of these Terms.

13.3 Effect of Termination

Upon termination of your account for any reason, your right to access and use our Services immediately ceases. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification obligations, limitations of liability, and dispute resolution provisions.

We reserve the right to delete all of your data and content within sixty days of account termination, except as required by law or as specified in our Privacy Policy regarding anonymized datasets and transaction records.

14. Changes to Terms

14.1 Right to Modify

We reserve the right to modify, amend, or update these Terms at any time to reflect changes in our Services, legal requirements, business practices, or for any other reason we determine necessary or appropriate.

14.2 Notification of Material Changes

If we make material changes to these Terms that significantly affect your rights or obligations, we will notify you at least thirty days before the changes take effect through one or more of the following methods: email notification to the address associated with your account, prominent notice on our website or mobile application, or in-app notification requiring acknowledgment.

Material changes may include modifications to pricing, payment terms, limitation of liability provisions, dispute resolution procedures, health data usage rights, or any other terms that substantially affect your rights or our obligations.

14.3 Non-Material Changes

For non-material changes, such as clarifications, corrections, or administrative updates, we will update the "Last Updated" date at the top of these Terms and may provide notice through our website, blog, or newsletter, but we are not required to provide individual notice to users.

14.4 Acceptance of Changes

Your continued use of our Services after the effective date of any changes to these Terms constitutes your acceptance of and agreement to be bound by the modified Terms. If you do not agree to the modified Terms, you must discontinue use of our Services and may terminate your account before the changes take effect.

If we make material changes requiring your affirmative consent, we may require you to accept the new Terms before you can continue using certain features or Services. If you decline to accept the new Terms, we may limit your access to Services or terminate your account.

14.5 Version History

We maintain a complete version history of these Terms, including all previous versions and a summary of changes made in each version. You may access previous versions and review changes at https://xeep.io/terms/history.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Health Disclaimer, and any other policies or agreements specifically incorporated by reference, constitute the entire agreement between you and Xeep regarding your use of our Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding our Services.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if such modification is not possible, such provision shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Any waiver must be in writing and signed by an authorized representative of Xeep to be effective.

15.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. We may freely assign, transfer, or delegate our rights and obligations under these Terms to any affiliate or in connection with any merger, acquisition, reorganization, sale of assets, or by operation of law without your consent.

15.5 Force Majeure

Xeep shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, labor disputes, telecommunications failures, internet disruptions, power outages, or any other events of force majeure.

15.6 Relationship of Parties

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchisee relationship between you and Xeep. You have no authority to bind Xeep or create any obligation on behalf of Xeep.

15.7 Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person or entity other than you and Xeep. There are no third-party beneficiaries to these Terms.

15.8 Notice

All notices, requests, or other communications required or permitted under these Terms must be in writing and delivered to the addresses specified in the Contact Information section below. Notices to you may be delivered via email to the address associated with your account, in-app notification, or posting on our website. Notices are deemed given when delivered via email or when posted on our website.

15.9 Language

These Terms are drafted in English. In the event these Terms are translated into any other language, the English version shall prevail in case of any conflict or inconsistency.

15.10 Headings

The headings and captions used in these Terms are for convenience only and shall not affect the interpretation of these Terms.

17. Acknowledgment and Acceptance

By creating a Xeep account, accessing our website or mobile applications, pairing a Xeep Device, or using any of our Services, you acknowledge that you have read these Terms of Service in their entirety, understand their contents, and agree to be bound by all provisions contained herein.

You specifically acknowledge and agree to the following key provisions:

  • You grant Xeep a comprehensive license to use your health data as described in Section 5.4
  • You understand that anonymized datasets created from your data become permanent Xeep assets
  • You accept that Xeep Services and the Xeep Device are for wellness purposes only and are not medical devices
  • You agree to arbitration and class action waiver as described in Section 12
  • You understand the warranty disclaimers and limitations of liability in Sections 9 and 10
  • You agree to be bound by Malaysian law and jurisdiction as specified in Section 12
  • You grant Xeep permanent, irrevocable rights to use your health data as described in Section 5.4, including creating anonymized datasets that become permanent Xeep assets even if you delete your account

If you do not agree to these Terms, you must not use our Services and should not create an account.
